Terms & Conditions

These Terms & Conditions (the “Terms”) govern (A) the sale of equipment and related goods and services by Direct Conveyors, LLC (“Seller,” “we,” “us,” or “our”), and (B) the use of our website (the “Site”). By placing an order or using the Site, the purchasing party and/or Site visitor (“Purchaser,” “you,” or “your”) agrees to these Terms.

A. Sale of Equipment – Commercial Terms
1) Definitions

“Quotation” means Seller’s written quote. “Order” means Purchaser’s purchase order accepted by Seller. “Equipment” means the goods, conveyors, components, and accessories supplied under an Order.

2) Shipment; Delivery; Risk of Loss
  • LTL Packaging: All conveyors shipping via truck (LTL) require a skid/crate charge. Under 8 ft: minimum $150.00. Over 8 ft: packaging to be evaluated at time of purchase.
  • FOB; Risk: Unless stated otherwise, shipment is F.O.B. Franklin, Indiana (shipping point). Title is addressed in Section 7. Risk of loss passes to Purchaser upon Seller’s delivery to the carrier.
  • Schedules: Estimated completion and shipping dates are firm through the quote expiration date and run from Seller’s receipt of (i) the Order and (ii) complete, final, and approved manufacturing information. Delays beyond Seller’s control (including, without limitation, acts of God, supply interruptions, labor disputes, carrier delays, epidemics, governmental actions, or other force majeure events) extend schedules accordingly.
3) Prices; Taxes
  • Firm Through Expiration: Prices quoted are firm through the Quotation expiration date and are stated in U.S. Dollars.
  • FOB: Prices are based on shipment F.O.B. Franklin, Indiana, unless otherwise stated.
  • Taxes: Purchaser must furnish a valid tax exemption certificate; otherwise, applicable taxes, duties, and fees are additional.
4) Payment Terms
  • Credit Approval: Payment terms are subject to approved credit. Seller may reasonably modify terms after reviewing Purchaser’s credit.
  • Card Surcharge: Credit card purchases above $2,000 are subject to a 3% fee.
  • Suspension: Seller may suspend performance or shipment if payments are late or credit becomes impaired.

6) Delivery Date Commitments

Delivery estimates are firm through the Quotation expiration date and commence upon Seller’s receipt of the Order and complete manufacturing information, subject to Section 2 (force majeure and delays beyond Seller’s control).

7) Title; Right of Possession

Title and right of possession to the Equipment shall remain with Seller until full payment has been made. In any resale prior to full payment, Purchaser shall inform the end user of the payment status and protect Seller’s title and right of possession until full payment has been made.

8) Cancellation
  • By Purchaser: If Purchaser cancels, cancellation charges shall be computed based on Seller’s full costs incurred for engineering, work-in-process, raw materials, supplies, and commitments made for the specific project.
  • By Seller: Seller reserves the right to cancel any Order if the Equipment, when built, does not function in accordance with the specifications. Such cancellation will be at no cost to Purchaser and will incur no liability to Seller.
  • Modifications: No modification to these Terms is valid unless accepted in writing by a Seller principal. Forms or terms presented by Purchaser that differ from these Terms are rejected unless expressly accepted in writing by a Seller officer or principal.
9) Safety; Compliance

Purchaser is responsible for providing proper safety devices, guarding, and procedures suitable for the intended use, and for ensuring conformance with applicable federal, state, and local laws and standards. Purchaser shall indemnify and hold Seller harmless from claims or liabilities arising from accidents involving the Equipment caused by Purchaser’s failure to follow Seller’s instructions, warnings, or recommendations. Purchaser shall promptly notify Seller of any accident involving the Equipment within thirty (30) days after occurrence and cooperate fully with Seller’s investigation.

10) Applicable Law

These Terms, the Quotation, and any Order accepted by Seller are governed by the laws of the State of Indiana, without regard to conflict-of-law rules.

11) Limitation of Liability

To the maximum extent permitted by law, Seller shall not be liable for any consequential, incidental, special, exemplary, or indirect damages (including lost profits, loss of use, or downtime costs), even if advised of the possibility. Purchaser’s sole and exclusive remedies are those expressly stated in these Terms.

12) Entire Agreement; Order of Precedence

These Terms, together with Seller’s Quotation and Seller’s written Order acknowledgment (if any), constitute the entire agreement and supersede all prior or contemporaneous communications. In case of conflict, the following order of precedence applies: (1) Seller’s written Order acknowledgment (if any), (2) Seller’s Quotation (including any specifically incorporated specifications), (3) these Terms.

B. Website Terms of Use & Privacy
1) Acceptance of Terms

By accessing or using this Site, you agree to comply with these Terms and all applicable laws. If you do not agree, you should discontinue use of the Site immediately.
