Shipment:

All conveyors shipping via truck (LTL) will require a skid / crate charge. Under 8ft has a minimum charge $150.00, Over 8ft will be evaluated at Time of Purchase.

 

Terms:

Terms are based upon approved credit. Direct Conveyors LLC reserves the right to negotiate terms after reviewing purchaser's credit. Credit Card purchases above $2,000 will be charged a 3% fee.

 

Delivery Date:

Completion and shipping date estimates quoted shall be firm until the quote expiration date and shall commence with the receipt of purchase order and complete manufacturing information. Exceptions would be delays caused by reasons beyond our control, such as acts of God, labor disputes, etc.

 

Price:

Prices quoted shall be firm until the quoted expiration date and are based upon shipment F.O.B. Franklin, Indiana, unless otherwise stated. All prices are quotes in U.S. Dollars. Purchaser must furnish a tax exemption certificate.

 

Limited Warranty:

The limited warranty is for one year from the date of shipment from Direct Conveyors LLC. The account must be paid as per the agreed terms to realize any portion of the warranty. If the equipment provided is found to be defective in material or workmanship, as determined by the Seller, the equipment shall be repaired or replaced at no cost to the Purchaser. However, the Purchaser shall be responsible for all shipping and handling costs to and from the Seller's factory. Items purchased by the Seller shall carry the original manufacturers warranty only. Seller's warranty is limited herein and does not recognize or allow any consequential damage, including the loss of use. Direct Conveyors LLC. reserves the right to choose, at our discretion, to perform any rework at our plant or at our customer's plant. Each case would be reviewed and a determination would be made according to the individual circumstance. The warranty is expressly in lieu of all other warranties, expressed or implied, including the Warranty of Merchantability, except as set forth above and the Warranty of fitness for a particular purpose.

 

Title:

The title and right of possession of this equipment shall remain the Sellers until full payment has been made. In the case of resale, the Purchaser shall inform the end user of the payment status and protect the title and right of possession in the Seller's name until full payment has been made.

 

Cancellation:

Cancellation charges shall be in lieu of liquidation damages and will be computed on the basis of Seller's full costs, of all engineering work, work in process, raw material, supplies, and commitments made by the Seller for the specific project. The Seller reserves the right to cancel any order placed against this quotation, if the equipment, when built, does not function in accordance with the specifications. Such cancellation shall be at no cost to the Purchaser and will incur no liability to the Seller. No modification of these terms and conditions shall be valid unless accepted in writing by one of Seller's principals, and without limiting the generality of the foregoing, no such modification shall be effected by the acknowledgment or acceptance of purchase order forms containing other, or different, terms or conditions whether or not signed by a representative who is not an officer, or principal, of Seller.

 

Applicable Law:

The laws of the state of Indiana shall govern the relationship of the parties in respect to this quotation and any purchase order accepted in response hereto.

 

Safety:

It is the Purchaser's responsibility to provide proper safety devices and equipment to safeguard the operator from harm for any particular use and to adequately safeguard the equipment to conform to government safety standards. Purchaser shall indemnify and hold Direct Conveyors LLC harmless from all claims or liabilities from accidents involving the equipment caused by the failure of purchaser to follow instructions, warnings or recommendations furnished by Direct Conveyors LLC. The purchaser must comply with Federal, State, Local laws applicable to the equipment. Purchaser shall notify Direct Conveyors LLC promptly of any accident involving the equipment within thirty (30) days after occurrence and shall cooperate fully with Direct Conveyors LLC in investigating and determining the cause of the accident.
